Terms for clients
The rules for receiving and using opportunities from IntroHarbor.
About these terms
These terms govern the opportunity service provided by IntroHarbor (“we”) to companies that receive introductions (“Buyer”, “you”). A signed order form or program agreement (“Order”) sets out your program details, including types, volumes, regions and fees. If the Order and these terms conflict, the Order wins.
Definitions
- Opportunity: a prospect record that meets the published qualification standard for its type: qualified lead (MQL) or sales-ready opportunity (SQL).
- Summary: the anonymised description of an Opportunity shown before acceptance.
- Partner: a lead-generation professional who submits Opportunities to IntroHarbor for verification.
- Delivery: the moment we release an Opportunity's contact details to you.
Ordering and delivery
We deliver Summaries matching your brief. Accepting a Summary, or a standing acceptance agreed in the Order, triggers Delivery. Delivery methods include email, a shared tracker or a webhook into your CRM. Volumes in an Order are targets unless the Order states a commitment.
Exclusivity
Every Opportunity is exclusive. It is delivered to you only, and we won't offer, sell or deliver it to any other buyer, before or after you receive it. If you decline a Summary, we don't release the prospect's contact details to you, and we may offer that Summary to another buyer only if the prospect agrees.
Replacement window
You may request a replacement within 7 days of Delivery, with reasons, if an Opportunity:
- doesn't meet the published standard for its type, or your agreed profile or exclusions;
- has contact details that are invalid, or reach someone who denies agreeing to the introduction;
- is a duplicate of an Opportunity we delivered to you, or a company on your exclusion list given to us before Delivery.
Not winning the deal, the prospect choosing another provider, or a change in the prospect's plans after Delivery are not grounds for replacement. We review each request in good faith, and a confirmed replacement is our sole obligation for that Opportunity. Replacements are Opportunities of the same type and category. We don't issue cash refunds unless the Order says so.
Fees and payment
Fees are set out in your Order and are confidential. Payment terms are set out in the Order. Fees are exclusive of taxes, which you pay where applicable. We may pause Delivery for overdue invoices.
Your use of prospect data
On Delivery, you receive personal data as an independent controller and agree to the data sharing terms in our Data Protection Addendum, provided with your Order. You must:
- use the Opportunity only to discuss the prospect's stated enquiry with them;
- not sell, share, rent or otherwise pass on Opportunity data or add it to lists for unrelated marketing;
- comply with applicable law, including GDPR and UK GDPR, PECR, US state privacy laws, CAN-SPAM, the TCPA and India's DPDP Act;
- honour any opt-out or deletion request we pass to you within 10 business days, and tell us about any you receive;
- keep the data secure and delete it when it's no longer needed for the enquiry.
Non-circumvention
Partner identities are confidential. During the term and for the period stated in the Order after it, you won't solicit, hire or contract any Partner you learn of through the service to source leads or opportunities outside IntroHarbor, or try to bypass IntroHarbor to obtain introductions from them.
Confidentiality
Each party keeps the other's non-public information confidential, including fees, briefs, Summaries that you don't accept and our methods. Declined Summaries must not be used to approach the prospect.
Warranties and liability
We'll provide the service with reasonable skill and care, in line with our published standard and data sourcing policy. We don't guarantee that any Opportunity will become a contract. To the extent permitted by law, neither party is liable for indirect or consequential loss, or for loss of profit, and each party's total liability under an Order is limited to the fees paid or payable under that Order. Nothing limits liability that can't be limited by law, or for breach of the data, confidentiality or non-circumvention sections.
Term and termination
An Order runs for the term it states. Either party may terminate for material breach not fixed within 30 days of notice. Sections that by their nature survive termination, including data use, confidentiality, non-circumvention, fees owed and liability, continue to apply.
Governing law and disputes
Governing law and how disputes are resolved are set out in your Order. We may update these terms with 30 days' notice. Changes won't apply to a current Order term without your agreement.
